Nicholas Swindle

US Tax and Structuring Manager

In 2013, Nicholas began his legal and tax career representing small businesses and distressed corporates against US federal (IRS) and state taxing authorities. His legal assistance included audit representation and the provision of internal restructuring guidance necessary to correct federal and state tax risks and reduce client’s future tax liabilities.  Nicholas established and managed a department of special corporate business cases which required in-depth tax research, multi-jurisdiction representation, coordination with federal and state agencies, as well as the preparation of formal legal arguments, tax filings, and supporting analysis on behalf of corporate clients.

In 2016, Nicholas joined Ernst & Young’s (EY’s) Transaction Tax Advisory practice as a US tax advisor in Washington, D.C. While at EY, Nicholas utilized in-depth technical knowledge of US taxation of corporate transactions and international tax law to assist clients in achieving their capital agenda. Nicholas’ experience with EY focused primarily on large US inbound and outbound structuring transactions, many in excess of $2 billion. Such advice commonly included buy-side tax due diligence, tax structuring, transaction related legal document review, and cash tax modelling; US sell-side tax assistance with divestitures; internal restructuring; capital structure and refinancing; distressed debt and bankruptcy; and tax attribute calculations and utilization strategies.

In 2020, Nicholas further expanded his practice by joining EY’s London based Global Tax Desk Network, providing US and international tax advice to EY’s UK and EMEIA based clients on inbound and outbound transactions, including corporate US expansion analysis for non-US clients entering the US market.

Nicholas received his Masters of Law (LL.M.) in Taxation from Boston University in 2016. Nicholas is a New York certified attorney, registered with the New York State Bar Association and the American Bar Association. He holds a valid US IRS Practitioner Identification Number (PTIN) and is also a member of the ABA and NYSBA Tax Sections. Nicholas is also currently serving as an active member of BU’s Young Alumni Council supporting future and recent graduates of the BU Law program.
